BYLAWS OF THE
CHICAGO HORTICULTURAL SOCIETY
(As amended and restated effective December 10, 2008)
ARTICLE I.
Name, Location, Purposes and Seal
Section 1. Name. The name of this corporation is the CHICAGO HORTICULTURAL SOCIETY (the “Society”). The Society may also operate and conduct business under the name “Chicago Botanic Garden” and in that regard shall make any appropriate assumed name filing.
Section 2. Offices. The Society shall maintain in the State of Illinois a registered office and a registered agent whose office is identical with such registered office, and may have such other offices within or without the State of Illinois as the Board of Directors may from time to time determine. The registered office of the Society shall be at 1000 Lake Cook Road, Glencoe, Illinois 60022.
Section 3. Purposes. The purposes of the Society are to develop the science of horticulture and all activities related to the study, propagation and culture of plants; to stimulate and foster interest in horticultural pursuits, conservation and protection of plant, bird and animal life; to cooperate with other organizations, public and private, in the horticultural education of the residents of Cook County and surrounding counties of Illinois; to establish a Botanic Garden and the improvement of gardens therein, by any and all means which may be chosen from time to time by the Board of Directors of the Society.
Section 4. Corporate Seal. The Society shall have a corporate seal, which shall be in the form of a circle and shall have inscribed thereon the name of the Society and the words “Corporate Seal” and “Illinois.”
Section 5. Illinois Act. The Society is incorporated as a not for profit corporation under the Illinois General Not For Profit Corporation Act of 1986, as amended from time to time (the “Illinois Act”).
